Terms
Plain English, on purpose. These are the terms between you and Dunn, the website service from NerdCow. The schedule at the end covers your customers’ details.
-
1. Who this is between
- 1.1 This agreement is between Nerd Cow Ltd, a company registered in England and Wales with company number 09553265, trading as Dunn (“we”, “us”), and you.
- 1.2 “You” is the company whose legal name you give us when you sign up, the name on your invoices. If you are a sole trader, “you” is you, the person, trading under that name.
- 1.3 If you sign up for a company, you confirm you are allowed to agree to this for it.
- 1.4 You are signing up as a business, including as a sole trader, not as a consumer.
- 1.5 It starts when you finish signing up: you have agreed to these terms and set up your Direct Debit or card on the payment page. Ticking the box on its own does not start it.
-
2. What you get
- 2.1 We build your website and aim to have it ready for you to check within 7 days of having everything we need from you. Then we host it, look after it and make your changes for as long as you are with us.
- 2.2 What each plan includes is listed below. It is the same list as on our pricing.
- 2.3 Your main page holds every section of your site, such as services, about, reviews and contact. Sections are not pages. An extra page is a page of its own, such as a treatment, a service, an area you cover or a case study. Your privacy notice, terms, thank-you page and 404 page never count. The new page you get every month on Plus sits on top of your allowance, and they keep adding up.
- 2.4 You can move up a plan at any time. The end of your 12 months stays the same. You can move down a plan at the end of your 12 months.
-
Starter: £150 a month + VAT, then £50 a month + VAT
Your main page, changes within 2 working days
- One page with everything on it: what you do, where, reviews, how to reach you
- Custom photos for your hero and key sections, not stock
- Your own domain and email
- Hosting, security and backups
- Unlimited changes, done for you within 2 working days
- Support by email
-
Standard: £200 a month + VAT, then £100 a month + VAT
Your main page plus up to 4 more, changes within next working day, everything in Starter plus:
- Your main page, plus up to 4 more: a treatment, an area you cover, a case study
- Google Business Profile set up and kept fresh every month
- Your Google reviews pulled onto the site
- A full set of custom photos, not stock
- A short monthly email: visits, enquiries, what we changed
- Changes done the next working day
-
Plus: £300 a month + VAT, then £100 a month + VAT
Your main page plus up to 9 more, changes within same working day, everything in Standard plus:
- Your main page, plus up to 9 more
- Online booking hooked up to the site
- A new page every month on top of those, so Google keeps finding you for more
- Custom photos across every page, and new ones whenever you ask
- Changes done the same working day
-
3. Changes
- 3.1 Changes to the site you have are included, as many as you like: wording, photos, prices, opening hours, a new section, or a new page within your allowance.
- 3.2 We do them within your plan’s turnaround, counted in working days (Monday to Friday, not bank holidays in England) from when we have everything we need. Starter: 2 working days; Standard: next working day; Plus: same working day.
- 3.3 Not included: a different design, which is a new build; a feature that comes with a higher plan, which we will point you to; and anything built just for you. Dunn does not build one-off features. If you want one, our agency can quote for it separately.
- 3.4 We will not publish anything unlawful, misleading, or that you do not have the right to use.
-
4. Your 30-day guarantee
- 4.1 Not happy? Until your site goes live, and for 30 days after it does, you can walk away and owe nothing. Email [email protected] and tell us.
- 4.2 We refund everything you have paid, in full, and stop your Direct Debit. No forms, no arguing.
- 4.3 If we are still waiting on you for what we need 60 days after you sign up, we may end the agreement the same way: you owe nothing, and we refund what you have paid.
-
5. The 12-month term
- 5.1 The minimum term is 12 months from your first payment. That is how long it takes to pay for the build.
- 5.2 After that the price drops to the after-term price for your plan and it is month to month: Starter £50 a month + VAT, Standard £100 a month + VAT, Plus £100 a month + VAT. We email you before it drops. There is nothing for you to do.
- 5.3 After your term you can stop at any time by emailing us. We stop at the end of the month you have paid for.
- 5.4 Your price does not change during your 12 months. If we ever change an after-term price, we will email you 30 days before, and you can leave before it starts.
-
6. Leaving early
- 6.1 You can leave at any time. Until your site has been live for 30 days, clause 4 applies and you owe nothing.
- 6.2 After that, we stop your monthly payments on the day we send you one final invoice for the months left of your first 12. The months left are 12, less the monthly payments you have already made.
- 6.3 For example, on Standard after 5 payments: 7 × £200 = £1,400, plus VAT, so £1,680 in all. That is the whole bill. No monthly payment is taken after it.
- 6.4 If a monthly payment was already on its way when we sent the invoice and still goes through, we take it off the invoice, or refund it if you have already paid.
- 6.5 Your site keeps running while the invoice is open. Once it is paid, you get everything in clause 9.
- 6.6 If you cancel your Direct Debit without telling us, we take it as a request to leave and email you to check.
-
7. Paying
- 7.1 You pay monthly in advance, by Direct Debit or by card. Stripe collects the payments for us. We never see your bank or card details.
- 7.2 Your first payment is taken when your site goes live, or 14 days after you sign up if that comes first. Your 12 months start from that payment.
- 7.3 Stripe emails you before every Direct Debit with the amount and the date, as the Direct Debit rules require.
- 7.4 You get a VAT invoice for every payment by email. You can download your invoices, and change your card, bank account or billing address, from your billing page at any time.
- 7.5 Our prices do not include VAT. Where VAT applies we add it at the standard rate and show it on the invoice.
- 7.6 If a payment fails, Stripe tries again and we email you. If it is still unpaid after 14 days, we pause changes until it is sorted. After 30 days, we may take your site offline until it is paid. A missed payment on its own never gets your site deleted.
-
8. Who owns what
- 8.1 You own your content, your images, your domain and your email. That includes the photos we make for your site.
- 8.2 While you are with us, we run your site for you and you use it for your business.
- 8.3 From handover, as long as you have paid everything you owe, the site we built is yours to keep and use for your business, for good. You can host it anywhere and change it as you like. If you sell your business, it goes with it.
- 8.4 The designs and code every Dunn site is built from stay ours. You can use them as part of your site, but not to build other sites or to sell on.
- 8.5 The small credit in your site’s footer stays while we look after it. You may remove it after handover.
-
9. When this agreement ends
- 9.1 However it ends, your content, images, domain and email are yours. Ask, and we send them to you and move your domain to whoever you choose, even if something is still owed.
- 9.2 Once everything you owe is paid, you get the handover pack within one working day: your built site as files that run on any host, instructions for hosting it elsewhere, and the records you need to move your domain and email.
- 9.3 Your site and email forwarding keep running for 30 days after the end, or until you move them, whichever comes first, unless the site is already offline for an unpaid bill.
- 9.4 We keep a copy of your site for 90 days after the end, so you can still get the pack. Then we delete it. We email you before we do.
-
10. What we do, and what you do
- 10.1 We host your site on reliable infrastructure, keep it secure and up to date, and back it up. We work to keep it up around the clock and fix problems quickly, but no host can promise a site will never go down.
- 10.2 You give us accurate details about your business, only send us content you have the right to use, and tell us when something on your site is wrong.
- 10.3 The rules for your own trade or profession are yours to follow, such as registration numbers, regulators and the ICO fee. We will remind you, and put on the site what you give us.
-
11. Limits of what we are responsible for
- 11.1 Nothing here limits our responsibility for death or personal injury caused by our negligence, for fraud, or for anything else the law does not let us limit.
- 11.2 We are not responsible for lost profits, lost business or other knock-on losses, or for things outside our reasonable control, such as an outage at a supplier or a change Google makes.
- 11.3 We do not promise Google rankings or a number of enquiries. Nobody honest does.
- 11.4 Otherwise, the most we are responsible for in any 12 months is what you paid us in those 12 months.
-
12. Your data
- 12.1 We look after your own details as our privacy note explains.
- 12.2 Your customers’ details, such as the enquiries sent through your site, are yours. We handle them only for you, as the schedule at the end of these terms sets out.
-
13. If things go wrong between us
- 13.1 Tell us first at [email protected]. Most things are sorted in one email.
- 13.2 We can end this agreement if a payment is still unpaid 60 days after we have reminded you, or if the site is used for something unlawful.
- 13.3 If we end it in your first 12 months, the months left are still owed, worked out as in clause 6. After that, only what is unpaid is owed. Clause 9 says what happens next.
-
14. Changes to these terms
- 14.1 The version you agreed to applies to you for your 12 months. After that we may update these terms. We will email you 30 days before any change, and you can leave before it starts.
-
15. The legal bits
- 15.1 We contact you at the email you signed up with, and you contact us at [email protected]. Email counts as writing.
- 15.2 These terms, with the schedule at the end, are the whole agreement between us. If one part turns out not to be enforceable, the rest still stands.
- 15.3 This agreement is governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.
Schedule: your customers’ details
-
S1. What this covers
- S1.1 Your customers’ details are yours. You decide what your site collects and why. We handle them only for you, to run your site. The law calls you the controller and us your processor, and this schedule is the contract it asks for.
- S1.2 The details: what people send through your site’s forms (name, email, phone, postcode and their message), the reviews we show on your site, your team’s names and photos, and anything about your customers you send us to put on your site.
- S1.3 The people: your customers, anyone who gets in touch through your site, people who review you, and your staff.
- S1.4 On a practice or clinic site, a message can include health details. We treat everything sent through your forms as if it might.
- S1.5 What we do with them: host your site, pass each enquiry from your forms to your inbox, show your reviews, and keep your site’s content so we can make your changes. We do not keep our own copy of enquiries, and we never use your customers’ details for anything else.
- S1.6 How long: for as long as this agreement runs, and until we have handed back or deleted the details at the end.
-
S2. What we promise
- S2.1 We act only on your instructions: these terms, and what you ask us for in writing. If the law makes us do anything else, we tell you first, unless the law stops us. If we think an instruction breaks data protection law, we tell you.
- S2.2 Only the people who need to see your customers’ details to run your site can, and they are bound to keep them confidential.
- S2.3 We keep them secure: sent encrypted, kept with suppliers who encrypt them, and locked down to the people who need them.
- S2.4 If one of your customers asks to see, correct or delete their details, we help you answer. If they ask us, we pass it to you within 2 working days.
- S2.5 If something goes wrong that puts your customers’ details at risk, we tell you without delay, and within 48 hours of finding out, with what we know. We help you put it right and decide whether to tell the ICO.
- S2.6 We give you what you need for any data protection checks you do, and help if the ICO asks you about your site.
- S2.7 When this agreement ends, we hand the details back with your content (clause 9.1) and delete them from our systems within 90 days, unless the law makes us keep them. Ask, and we delete them sooner.
- S2.8 If you ask, we show you how we keep these promises. Once a year, or after something has gone wrong, you or an auditor you choose can check, with 30 days’ notice and at your cost.
-
S3. Who helps us
- S3.1 We use the suppliers below to run your site. Each one has a contract with us that makes the same promises as this schedule, and we are responsible for them.
- S3.2 We email you at least 30 days before we add or change one. If you object and we cannot sort it out, you can leave without paying the months left.
- S3.3 Some of them are based in the US. Where details leave the UK, they are covered by the safeguards UK law approves.
- Cloudflare hosts your site and runs its forms, so every enquiry passes through it. It also counts visits, without cookies.
- Resend sends each enquiry from your site to your inbox.
- Google shows your Google reviews on your site, and runs the Business Profile we manage for you.
- GitHub stores your site’s content and code, including any reviews and team photos on it.
- Basecamp is where we keep track of your change requests.
- OVH runs the servers that handle your change requests.
- Anthropic and OpenAI read the messages you send us and help draft our replies.
- Stripe takes your payments to us. It never sees your customers’ details.
- Your own email, such as a Google Workspace in your name, is yours, under your own contract with that provider. It is not one of our suppliers.
